1.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement.

By using the Service, you represent that you satisfy these requirements and that your use of the Service is lawful in the jurisdiction in which you access or use it.

1.2 Account Information

You are responsible for providing accurate and up-to-date information when creating and maintaining your account.

You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account, except to the extent that applicable law provides otherwise.

We may require additional information or verification before permitting access to particular features of the Service.

1.3 Account Security

You must promptly notify us if you believe that your account, credentials or connected exchange credentials have been compromised.

We may restrict or suspend access where we reasonably believe that an account or credential has been compromised or that continued access presents a security, legal or operational risk.

2.1 Development Status

The Service, or particular features of the Service, may be designated by us as beta, experimental, preview, early access or otherwise under development (the "Beta Service").

As of the Effective Date, the entire Service is designated a Beta Service.

You acknowledge that the Beta Service is being developed and tested and may contain defects, inaccuracies, interruptions, unexpected behaviour or other limitations.

2.2 Changes to the Beta Service

We may modify, add, remove, suspend or discontinue features of the Beta Service as development continues.

Features, interfaces, algorithms, integrations, data sources, execution methods and other aspects of the Service may therefore change from time to time.

2.3 No Guarantee of Availability or Performance

We do not guarantee that the Service, or any particular feature of it, will be continuously available, uninterrupted, secure, error-free or suitable for any particular purpose.

You acknowledge that software and market infrastructure may fail notwithstanding reasonable precautions.

3.1 Technology Platform

Trend Hound provides software and technology intended to assist users with activities including market-data analysis, visualisation, screening, backtesting, strategy development, algorithmic trading and related workflows.

The precise functionality available to you depends on the Service and subscription or access level applicable to your account.

3.2 No Investment or Financial Advice

The Service is a technology platform and is not intended to provide investment, financial, legal, tax or accounting advice.

Nothing displayed, generated or communicated through the Service constitutes a recommendation, solicitation or invitation to buy, sell or otherwise transact in any financial instrument or cryptoasset.

You are solely responsible for determining whether any strategy, instruction, transaction or other activity is appropriate for you.

3.3 User-Controlled Trading

Where the Service permits interaction with a third-party exchange, you remain the account holder and owner of the relevant exchange account and assets.

You authorise Trend Hound, subject to the functionality you have enabled, to transmit trading instructions to the relevant exchange using the credentials or API access that you have supplied.

We do not guarantee that any instruction will be accepted, transmitted successfully, executed, executed in full, executed at a particular price, or executed within a particular period.

3.4 No Custody

Unless expressly agreed otherwise in writing and lawfully permitted, Trend Hound does not take custody of your money or cryptoassets.

Your assets remain in your accounts with the relevant third-party exchange or other service provider.

4.1 Your Responsibility for Trading Decisions

You are responsible for your trading activities, including the strategies, algorithms, parameters, risk limits, position sizes, order types and other instructions that you create, configure, approve or activate.

4.2 Market Risk

Trading in financial instruments and cryptoassets involves substantial risk of loss.

Prices may change rapidly and liquidity may disappear without warning. Orders may be partially filled, rejected, delayed, cancelled or executed at prices materially different from those expected.

You should not use the Service with funds that you cannot afford to lose.

4.3 No Performance Representation

Nothing in the Service constitutes a representation that a strategy, backtest, signal, forecast, model, algorithm or other output will produce any particular return or result.

Historical, simulated, hypothetical and backtested performance may differ materially from live performance and is not a reliable indication of future results.

4.4 Exchange and Market Infrastructure

The operation of live trading may depend upon third-party exchanges, market-data providers, network infrastructure, cloud providers, telecommunications services and other third parties.

Events affecting such third parties may affect your trading even where the Service itself is operating as intended.

Trend Hound does not control the operation, availability, rules, liquidity, matching engine, risk controls or policies of any third-party exchange.

5.1 API Permissions

Where you connect an exchange account to the Service, you must configure the relevant API credentials with the minimum permissions reasonably necessary to use the features you have enabled.

Withdrawal, transfer and asset-movement permissions must remain disabled for any API credentials connected to the Service.

You must not provide Trend Hound with credentials that permit the withdrawal or transfer of assets from your exchange account.

5.2 Exchange-Level Control

You must retain independent control of your exchange account and API credentials.

You must ensure that you can suspend, revoke, delete or otherwise disable connected API credentials directly through the relevant exchange.

Where you wish to stop the Service from submitting trading instructions through an exchange connection, you must use the exchange's own account and API controls as an independent means of disabling access.

5.3 Credential Security

You are responsible for configuring and maintaining appropriate security controls for your exchange accounts, including passwords, multi-factor authentication and API permissions.

You must not disclose your API credentials to another person or permit another person to access the connected exchange account in breach of the exchange's terms.

5.4 Exchange Terms

Your use of any third-party exchange remains subject to that exchange's own terms, policies, rules and applicable restrictions.

You are responsible for ensuring that your use of the Service and your activity through an exchange complies with those requirements.

5.5 Scope of Authorisation

By connecting an exchange account to the Service, you authorise Trend Hound to:

(a) access that exchange account using the API credentials you supply;

(b) retrieve the account and market information made available through those credentials, including balances, positions, orders, fills and related information; and

(c) transmit to the relevant exchange the trading instructions that you configure, enable or activate through the Service.

You represent and warrant that you are entitled to grant this authorisation and that your use of the Service in connection with the relevant exchange account is permitted under that exchange's terms.

This authorisation is limited to the technical actions described above. It does not appoint Trend Hound as your agent, attorney, adviser or portfolio manager, does not confer any discretionary authority over your trading decisions, and does not extend to the withdrawal or transfer of assets, which must remain disabled in accordance with clause 5.1.

You may withdraw this authorisation at any time by disconnecting the exchange connection through the Service or by revoking or disabling the relevant API credentials directly through the exchange.

6.1 Third-Party Data

Market data and other information displayed through the Service may originate from exchanges or other third parties.

Such information may be incomplete, delayed, unavailable, inaccurate, stale or subject to interruption.

6.2 Reliance on Data

You acknowledge that trading decisions based on market data or other information carry inherent risks, including where that information is inaccurate or incomplete.

Trend Hound does not guarantee the accuracy, completeness, timeliness or fitness for purpose of third-party market data.

6.3 Third-Party Services

The Service may contain integrations, links or dependencies involving third-party products or services.

Those services are provided by their respective providers and may be subject to separate terms and policies.

Trend Hound is not responsible for matters arising solely from the acts, omissions, availability or performance of such third parties, except to the extent that applicable law provides otherwise.

8.1 Our Rights

The Service, including its software, interfaces, architecture, design, documentation, technology, models, algorithms, databases, graphics, trademarks and other content, is owned by Trend Hound or its licensors and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no intellectual property rights are transferred to you.

8.2 Licence to Use the Service

Subject to your compliance with these Terms and any applicable subscription terms, Trend Hound grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for its intended purposes during the period in which you are authorised to use it.

8.3 Your Strategies and Content

As between you and Trend Hound, you retain ownership of strategies, configurations and other content that you independently create and submit to the Service, subject to any rights embodied in the Service itself.

You grant Trend Hound the rights reasonably necessary to host, process, transmit, store and otherwise use that content to provide, secure, maintain and improve the Service.

10.1 Suspension by Trend Hound

We may suspend or restrict your access to all or part of the Service where we reasonably consider this necessary to:

(a) protect the security or integrity of the Service;

(b) investigate suspected misuse or breach of these Terms;

(c) comply with law, regulation or an order of a competent authority;

(d) address a security incident or material operational risk; or

(e) prevent harm to Trend Hound, another user or a third party.

10.2 Termination

You may stop using the Service and, subject to any applicable subscription terms, close your account at any time.

We may terminate or discontinue your access where permitted by these Terms or applicable law.

10.3 Effect of Termination

Following termination, your right to use the Service will cease.

Any provisions which by their nature are intended to continue after termination, including provisions relating to intellectual property, liability, indemnity, confidentiality, governing law and dispute resolution, will continue to apply.

12.1 General

To the maximum extent permitted by applicable law, the Service is provided on an "as available" basis and without warranties, representations or guarantees except as expressly set out in these Terms or otherwise required by law.

12.2 No Guarantee of Trading Execution

We do not guarantee that:

(a) the Service will remain available at all times;

(b) any market data will be accurate, complete or current;

(c) any strategy or algorithm will perform as expected;

(d) any order or instruction will be received or accepted by an exchange;

(e) any order will be executed;

(f) any order will be executed at a particular price, quantity or time; or

(g) the Service will be free from defects, interruptions or errors.

12.3 No Guarantee of Trading Outcome

Trend Hound does not guarantee any profit, return, trading result or other financial outcome.

You acknowledge that losses may arise from, among other things, market movements, liquidity conditions, execution conditions, exchange policies, network failures, data errors, software defects, configuration errors and other events outside your or our control.

13.1 Mandatory Liability

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any other liability which applicable law requires to remain unaffected.

Nothing in these Terms is intended to exclude or restrict any mandatory rights or remedies available to a consumer under applicable law.

13.2 Excluded Losses

Subject to clause 13.1 and to the maximum extent permitted by applicable law, Trend Hound will not be liable for:

(a) trading losses or losses arising from market movements;

(b) loss of anticipated profit, revenue, savings, business or opportunity;

(c) loss arising from a failure to execute, partial execution, delayed execution, cancellation or rejection of an order;

(d) losses caused by market illiquidity, volatility, slippage or pricing discrepancies;

(e) losses arising from the acts, omissions, policies, systems, outages or failures of an exchange or other third party;

(f) loss, corruption or unavailability of data, except to the extent that applicable law provides otherwise;

(g) losses arising from your strategy, configuration, parameters, instructions or use of the Service; or

(h) indirect or consequential loss.

13.3 Liability Cap

Subject to clause 13.1 and to the maximum extent permitted by applicable law, Trend Hound's total aggregate liability arising out of or in connection with the Service, whether in contract, tort, negligence, breach of statutory duty or otherwise, will not exceed the greater of:

(a) the total subscription fees paid by you to Trend Hound during the twelve months immediately preceding the event giving rise to the claim; and

(b) £100.

13.4 Application of the Limits

The exclusions and limitations in this section apply whether the relevant loss was foreseeable or whether Trend Hound had been advised of the possibility of such loss, except where applicable law prevents such limitation.

18.1 Entire Agreement

These Terms, together with any applicable subscription terms, the Privacy Policy and the Risk Disclosure, constitute the agreement between you and Trend Hound concerning the Service and supersede prior agreements concerning the same subject matter, except for any separate written agreement expressly stated to apply.

18.2 Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it lawful and enforceable, where permitted, and the remaining provisions will remain in full force and effect.

18.3 No Waiver

A failure or delay by either party to exercise a right or remedy does not constitute a waiver of that right or remedy.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms in connection with a corporate reorganisation, merger, sale of assets or similar transaction, provided that this does not unlawfully prejudice your rights.

18.5 Third-Party Rights

Except where these Terms expressly provide otherwise, a person who is not a party to these Terms will have no rights to enforce any provision of them under the Contracts (Rights of Third Parties) Act 1999.

18.6 Events Outside Our Reasonable Control

We will not be responsible for delay or failure in performing our obligations to the extent caused by events beyond our reasonable control, including failures of telecommunications or internet infrastructure, cloud providers, exchanges, market-data providers, cyber incidents, natural disasters, governmental actions, industrial disputes or other events of a similar nature.
